Terms and Conditions of Service

1. Acceptance of Terms

These Terms and Conditions ("Terms", "Agreement") constitute a legally binding agreement between Kyle Solutions Private Limited ("Company", "we", "us", or "our") and the individual or business entity ("User", "Customer", or "You") accessing or using the Octopus Suites mobile application and associated backend services.

By creating an account, downloading, accessing, or using Octopus Suites, you affirm that you have the authority to bind yourself or your organization to these Terms. If you do not agree to all terms and conditions set forth herein, you must immediately cease all access and uninstall the application.

2. Description of the Service

Octopus Suites is a unified, modular enterprise suite designed to streamline business workflows. Key capabilities include:

• WhatsApp CRM: Real-time customer chat management, team inboxes, broadcast campaigns, message templates, automated triggers, and AI bot responses via official WhatsApp Business API integration.
• Kyle CRM & ERP: Management of leads, opportunities, pipelines, quotations, sales orders, invoices, payment entries, suppliers, purchase receipts, and accounting records.
• Octopus Suite Hub: A centralized application launcher and switcher providing unified access and organization-level oversight.

3. Account Registration & Organization Security

1. Accuracy of Information: You agree to provide true, accurate, and complete information during registration and keep account credentials current.
2. Credential Confidentiality: You are solely responsible for maintaining the confidentiality of your credentials. Any activity originating under your account is deemed authorized by you.
3. Unauthorized Access: You must notify us immediately at dev@kylesolutions.in upon suspecting any unauthorized breach or compromise of your account.
4. Account Roles: Workspace Administrators are responsible for assigning and monitoring user roles, permissions, and module access within their organization.

4. Acceptable Use Policy

When accessing or using Octopus Suites, you agree that you will NOT:

• Send unsolicited bulk messages, spam, or unlawful communications through the WhatsApp CRM module in violation of Meta’s WhatsApp Business Messaging Policy.
• Transmit or store defamatory, harassing, obscene, fraudulent, or infringing material.
• Attempt to reverse engineer, decompile, disassemble, or derive the source code of Octopus Suites.
• Probe, scan, or test the vulnerability of the infrastructure, or circumvent security and authentication safeguards.
• Use the service in any manner that impairs, overburdens, or damages server infrastructure.
• Resell, sub-license, lease, or syndicate access to the platform without prior written consent.

5. Third-Party Integrations & Meta Policies

Octopus Suites provides integration with external enterprise platforms:

• WhatsApp Business API (Meta Platforms): Use of WhatsApp messaging features is subject to compliance with Meta’s WhatsApp Business Terms of Service and WhatsApp Commerce Policy.
• Third-Party Providers: Services provided by cloud providers, payment gateways, and external APIs are governed by their respective terms.

6. Intellectual Property & Customer Data Ownership

A. Company Intellectual Property

Kyle Solutions Private Limited retains all right, title, and interest in and to Octopus Suites, including software design, trademarks, logos, interface layouts, algorithms, and documentation.

B. Customer Data Ownership

You retain 100% ownership of all business records, customer contact databases, quotations, invoices, and conversation logs imported into or generated within your workspace.

7. Fees, Subscriptions & Billing

1. Pricing Plans: Access to designated enterprise modules and quotas may be subject to subscription fees outlined in your commercial agreement.
2. Taxes: All fees are exclusive of applicable national, state, or local taxes (such as GST).
3. Non-Payment: Failure to resolve outstanding balances within the grace period may result in downgraded access or temporary account suspension.

8. Disclaimer of Warranties

Octopus Suites is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express, implied, or statutory.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Kyle Solutions Private Limited, its directors, employees, or partners be liable for indirect, incidental, special, or consequential damages.

10. Termination

You may terminate your account at any time by contacting dev@kylesolutions.in. Upon termination, your right to use Octopus Suites ceases immediately.

11. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India. Any legal disputes shall be subject to the exclusive jurisdiction of the courts located in Tamil Nadu, India.
